Corporate governance is the system of internal controls and procedures by which individual Companies aremanaged.
It provides a framework that defines the rights, roles and responsibilities of different groups —management, Board, controlling Shareowners and minority or non-controlling Shareowners — within anorganization.

The corporate governance report often includes ,an explanation of the Company’s nominationsprocess and whether they have a specially designated nominations committee.
