Mental Health Tribunals, effective May 20, 2004:

(a) Father Bernard Sloan, Moncton, New Brunswick, to the Tribunal for Region 1, for a term of three years, in place of Sister

Hélèna Richard; and

(b) Hector Basque, Tracadie-Sheila, New Brunswick, to the Tribunal for Region 6, for a term of three years, in place of Gerry

Under sections 11, 13, 14 and 15 of the Electric Power Act and sections

4 and 4.1 of the Provincial Loans Act, the Lieutenant-Governor in

Council

(a) approves the raising, by way of a loan or loans in the manner provided by section 4 of the Provincial Loans Act, an aggregate amount of not more than Canadian $400,000,000 which the Lieutenant-Governor in Council deems requisite for the purposes of the Electric Power Act; which amounts so raised shall be at an all- in cost not to exceed a semi-annual equivalent of 5% for terms to maturity not to exceed six years; (b) authorizes the Minister of Finance, under subsection 4.1(1) of the Provincial Loans Act, to raise such sums of money for the said purposes; (c) authorizes the amounts so raised as aforesaid to be applied by the Minister of Finance in the purchase of a debenture/note or de- bentures/notes issued by the New Brunswick Power Corporation (the "Corporation") under the authority of the Electric Power Act; (d) approves the form of the Debenture/Note Purchase Agree- ment to be executed between the Province of New Brunswick (the "Province") and the Corporation, which form of Debenture/Note Purchase Agreement is attached hereto and marked Schedule "A", and authorizes the Minister of Finance to sign and deliver a Deben- ture/Note Purchase Agreement in or substantially in said form; and (e) approves the issuance and sale by the Corporation to the Prov- ince of a debenture/note or debentures/notes substantially in the form attached hereto and marked Schedule "B" subject to the pa-

En vertu des articles 11, 13, 14 et 15 de la Loi sur l'énergie électrique et des articles 4 et 4.1 de la Loi sur les emprunts de la province, le lieutenant-gouverneur en conseil a) réunit, sous forme d'un ou de plusieurs emprunts de la façon prescrite à l'article 4 de la Loi sur les emprunts de la province, la somme maximale de 400 millions de dollars canadiens que le lieutenant-gouverneur en conseil juge nécessaire aux fins de la Loi sur l'énergie électrique; le coût global du financement des sommes ainsi réunies ne devant pas dépasser un taux semestriel de 5 % et la durée de l'échéance devant être inférieure à six ans; b) autorise le ministre des Finances, en vertu du paragraphe 4.1(1) de la Loi sur les emprunts de la province, à réunir la susdite somme d'argent pour les susdites fins; c) autorise que les sommes ainsi réunies soient utilisées par le mi- nistre des Finances pour acheter une ou plusieurs débentures ou un ou plusieurs billets émis par la Société d'énergie du Nouveau- Brunswick (" la Société ») conformément à la Loi sur l'énergie

électrique;

d) approuve la formule de la convention d'achat de débentures ou de billets à conclure entre la province du Nouveau-Brunswick (" la Province ») et la Société, ladite convention d'achat de débentures ou de billets étant jointe à l'annexe " A » et autorisant le ministre des Finances à signer et à remettre une convention d'achat de dé- bentures ou de billets dans ladite forme ou dans une forme essen- tiellement semblable; et e) approuve l'émission et la vente par la Société à la Province d'une débenture ou d'un billet ou de débentures ou de billets dans la forme essentiellement semblable à la forme jointe à l'annexe

Dear Sir:

I understand that the New Brunswick Power Corporation (the "Corpo- ration") intends to issue a (X)% debenture in the principal amount of $(XXX,XXX,XXX) in lawful money of Canada to be dated (month, day, year) and to mature (month, day, year) (the "Debenture"). On behalf of the Province of New Brunswick, I offer to purchase from the Corporation the Debenture at a price of $(XX.XXX) per $100 prin- cipal amount thereof plus accrued interest, if any, from (month, day, year) to the date of payment and delivery. This offer to purchase is sub- ject to the following terms and conditions:

1. The Debenture will be in fully registered form in the denomination

of $(XXX,XXX,XXX). The Debenture will not be transferrable.

2. The Debenture will de dated (month, day, year) and will mature

(month, day, year). The Debenture will bear interest at the rate of (X)% per annum, payable semi-annually on (month, day) and (month, day). The Debenture (will/will not) be subject to redemp- tion prior to maturity.

3. The Debenture will be payable as to principal at maturity against

surrender by the registered holder to the Corporation at its Head Office in Fredericton, New Brunswick. Interest will be payable by cheque or by such other method as agreed upon by the Corporation and the Province of New Brunswick.

4. The Debenture will rank pari passu with all other securities consti-

tuting general obligations of the Corporation outstanding at the date of issue of the Debenture or issued thereafter without any prefer- ence granted by the Corporation save and except any obligations for the repayment to the Government of Canada through Northern Canada Power Commission of loans made to the Corporation in re- spect of the construction costs of certain projects.

5. In accordance with subsection 13(2) of the Electric Power Act, in

respect of the sinking fund payments required to be made by the Province under or in respect of the Province's Series (XX) deben- tures, the Corporation will pay to the Minister of Finance of the Province on (month, day, year) and on (month, day) in each year thereafter so long as the Debenture is outstanding, an amount equal to at least 1% of the principal amount of the Debenture outstanding on such payment dates. At maturity (or earlier redemption) the Minister of Finance shall determine the accumulated value of the foregoing payments by the Corporation with earnings applicable thereto. At the sole discretion of and approval of the Corporation the amount so calculated may be offset against the obligation of the
