This Initial Decision revokes the registration of the registered securities of RespondentNew Leaf Brands, Inc., due to its failure to timely file required periodic reports with the
Securities and Exchange Commission.1
INTRODUCTION
On October 16, 2015, the Commission issued an Order Instituting Administrative Proceedings (OIP) pursuant to Section 12(j) of the Securities Exchange Act of 1934. The OIPalleges that New Leaf has a class of securities registered with the Commission pursuant to
Exchange Act Section 12(g) and is delinquent in its periodic filings. New Leaf was served with the OIP on October 20, 2015, and its Answer was due by November 2, 2015. Life Care Med. Devices, Ltd., Admin. Proc. Rulings Release No. 3260, 2015 SEC LEXIS 4394 (Oct. 26, 2015). Following failure to timely file an Answer, I ordered it to show cause by November13, 2015, why the registration of its securities should not be revoked by default due to its failure
to file an Answer or otherwise defend this proceeding. Life Care Med. Devices, Ltd., Admin. Proc. Rulings Release No. 3283, 2015 SEC LEXIS 4510 (Nov. 3, 2015). To date, New Leaf has failed to file an Answer or respond to the show cause order.FINDINGS OF FACT
New Leaf is in default for failing to file an Answer or otherwise defend the proceeding.See OIP at 3; 17 C.F.R. §§ 201.155(a)(2), .220(f). Accordingly, as authorized by Rule of
Practice 155(a), 17 C.F.R. § 201.155(a), I find the following allegations in the OIP to be true.
