A.General

1.Scope of Bid

1.1In connection with the Invitation for Bids, specified in the Bid Data Sheet (BDS),

the Employer, as specified in the BDS, issues these Bidding Documents for the supply of Goods and Related Services incidental thereto as specified inSection VII, Works Requirements. The name, identification & number of this International Competitive Bidding (ICB) procurement are specified in the BDS.

1.2Throughout these Bidding Documents

(a)the term "in writing" means communicated in written form (e.g. byletter,mail, e-mail, fax, telex) with proof of receipt; (b)except where the context requires otherwise, words indicating the singular also include the plural and words indicating the plural also include the singular; and (c)"day" means calendar day.

2.Source of Funds

2.1The funds for meeting the capital and operational expenses would be borne by

the bidder(consortium of Bidders) from their own resources.

3.Corrupt and Fraudulent Practices

3.1It isEmployerpolicy to require that Bidders and Contractors aswell as observe

the highest standard of ethics during the procurement and execution of such contracts.

The prohibited Conduct Includes:

•Corrupt Practiceis the offering, giving, receiving or soliciting, directly or indirectly, anything of value to influence improperly the actions of another party. •Fraudulent practiceis any act or omission, including a misrepresentation, that knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial or other benefit or to avoid an obligation. •Coercive Practiceis impairing or harming, or threatening to impair or harm, directly or indirectly, any party or the property of any party to influence improperly the actions of another party. •Collusive Practiceis an arrangement between two or more parties designed to achieve an improper purpose, including influencing improperly the actions of another party. •Obstructive Practiceis (a) deliberately destroying, falsifying, altering or concealing of evidence material to the investigation; and/or threatening, harassing or intimidating any party to prevent it from disclosing its knowledge of matters relevant to the investigation or from pursuing the investigation or (b) acts intended to materially impede the exercise of the funding agency's contractual rights of audit or access to information or the rights that any banking, regulatory or examining authority or other equivalent body of the funding agency or its Member states may have in accordance with any law, regulation or treaty or pursuant to any agreement into which the funding agency has entered in order to implement such law, regulation or treaty. •Money Launderingis defined in the Anti-Fraud Policy •Terrorist Financingis defined in the Anti-Fraud Policy •Project Ownermeans the person designated as such in the bidding documents or the contract.

(a)is committed to ensuring that funds are used for purposes intended and its operations are free from prohibited conduct (including but not limited to, fraud, corruption, collusion, coercion, and money laundering and terrorist funding. (b)may declare an individual or an entity ineligible to be awarded a contract under any MAHAMETRO Project or to enter into any relationship with it, if it determines pursuant to its exclusion procedures that such individual or entity has engaged in any prohibited conduct in the course of the procurement process and/or implementation of the contract; and (c)may cancel contract for works, goods or services if it, at any time, determines pursuant to its procedures that an individual or an entity has engaged in any prohibited conduct during the procurement process or during the execution of the contract, The Bidders are required as a condition of admission to eligibility, to execute and attach a Covenant of Integrity in the form indicated in Section IV: Bidding Forms.

3.2Furthermore, Bidders shall be aware of the provision stated in Sub-Clause 15.2 of

General Conditions of Contract.

4.Eligible Bidders

4.1A Bidder may be a firm that is a singleentity or any combination of such entities

in the form of a joint venture (JV) under an existing agreement. In the case of a JV: (a)all members shall be jointly and severally liable for the execution of the Contract in accordance with the Contract terms, and (b)the JV shall nominate a Representative who shall have the authority to conduct all business for and on behalf of any and all the members of the JV during the bidding process and, in the event the JV is awarded the Contract, during contract execution. Unless specified in the BDS, there is no limit on the number of members in a JV.

4.2A Bidder shall not have a conflict ofinterest. A Bidder shall not be employed

under any of the circumstances set forth below throughout the bidding/selection process and/or the execution of the Contract unless the conflict has been resolved in a manner acceptable to Funding agency. (a)A firm shall be disqualified from providing goods or non-consulting services resulting from or directly related to Consulting services for the preparation or implementation of a project that it provided or were provided by any affiliate that directly or indirectly controls, is controlled by, or is under common control with that firm.
